                                                                 BY-LAWS

                                                           Revised,  May 2011

                            Article I  Duties of the Officers:

                            Section 1.  President:  The  president will preside over all board meetings and set the agenda for such meetings.  The president will conduct all general meetings of the club, guide the travel direction of the club, be the second signature on the checking account, and assist other board members as necessary.

                            Section 2.  Vice-President/Director of Travel:  The vice-president will chair and coordinate the planning  team consisting of the vice-president and the event planners.  It is the responsibility of this committee to research new trips and activities for board consideration.  This includes the responsibility of researching ideas, obtaining cost estimates from vendors, and recommending trips and estimated costs to the board.  The vice-president will assist the president in establishing the agenda for the annual  and monthly meetings and will assist other board members as necessary.  Should the president be unable to fulfill his term of office, the vice-president will assume this position until the next annual meeting.

                            Section 3:  Director of Finance:  This director is responsible for all financial records of the club. The duties include making all bank deposits, paying all expenses of the board, and keeping a record of all general receipts and those of each individual trip or activity.  This director will provide a financial report to the board at each meeting and will reconcile the revenue for each event with the events coordinator to ensure that funds have been collected from participants  and that they are members.   An internal audit shall be conducted with the election of a new director of finance.  The audit committee shall consist of two community members and two board members.

                            Section 4:  Event Planners:  The event planners work directly with the VP/Director of Travel to develop and organize long-term domestic and international travel as well as day trips and activities.
                              
                            Section 5:  Coordinator of Trips:  The coordinator works directly with the planning team to handle the details of implementing activities.  Once an event has been approved by the board, the coordinator secures a volunteer(s) to take reservations, sell tickets, and handle the responsibilities for the activity.  The coordinator will oversee the sale of tickets and the deposit of funds with the treasurer.  When possible, the coordinator should plan to participate In the activity and serve as the person in charge.

                            Section 6:  Director of Membership and Records:  This director will handle all new membership applications, facilitate the collection of annual dues from existing members, and maintain a computerized list of members.  The director  may form a committee of two or three members to help with the tasks involved.  In addition, this director will be responsible for recording the minutes of all board meetings and providing each member with a copy,  and maintaining  up-to-date copies of the Charter, By-Laws, and other important documents.

                            Section 7:  Director of Communication and Marketing:  This director will be responsible for all communication with club membership and the community.   Duties will include writing or overseeing the creation of newspaper articles, communication via email, printed material and  marketing tools to promote trips and activities.  This director will also work closely with the website manager to keep the website information current.

                            Section 8:  Website Manager:  The manager works closely with the director of communication and marketing and the coordinator of trips to maintain the club’s website and make changes as necessary.  The manager will also advise the club of technological changes and improvements as appropriate.

                             

                            ARTICLE II                  Membership:

                            Section 1:  Only Robson Ranch residents may be members.

                            Section 2:  Only resident members will qualify for group travel rebates.

                             

                            ARTICLE III                  Participation:

                            Section 1:  Non-residents may participate in Roadrunner planned activities on a space available basis.

                            Section 2:  Non-members (resident or non-resident) will not be allowed to participate in activities that are subsidized by the Roadrunners Club at the same price as members.

                            Section 3:  If space is available for non-members, a separate price for non-members may be established for the activity.

                             

                            ARTICLE IV                  Meetings:

                            Section 1:  Regular meetings will be held as scheduled.

                            Section 2:  The president may call special meetings.

                            Section 3:  The annual meeting will be held in May.

                            Section 4:  Robert’s Rules of Order, Revised, shall be the authority for all questions not covered by the Charter or By-Laws.

                             

                            ARTICLE V                  Nominating Committee:

                            Section 1:  The president shall appoint a nominating committee consisting of five members – four from the general membership and one member from the board.  The president will designate the chair of the committee.

                            Section 2:  The Nominating Committee shall canvas the current board and the general membership for the prospective officers.

                            Section 3:  The chair shall present the slate of officers at the annual meeting.

                             

                            ARTICLE VI                  Elections

                            Section 1:  The election of officers at the annual meeting will be by a show of hands

                            Section 2:  Following the announcement of the name for each office, the president shall call for nominations from the floor.  If someone is nominated and accepts,  a vote shall be taken.

                             

                            ARTCILE VII                  Amendments

                            The Charter and the By-Laws may be amended at any regular meeting of this club by a vote of two-thirds of the members present, provided the proposed amendment(s) has been read at the regular meeting and posted at least thirty days prior to voting.

                            ARTICLE I Name:  Robson Ranch Roadrunners

                            ARTICLE II Purpose:  To provide Robson Ranch residents with travel opportunities as a group.

                            ARTICLE III Membership:  Membership is open to all residents of Robson Ranch.  Dues will be determined annually by the board and voted on at the annual meeting if there is a change.   Two-thirds of  those present must approve the change.  These funds are used for general operational expenses.

                            ARTICLE IV Officers:  Once elected, officers serve for one year. An officer may seek re-election to the same or different position in subsequent years.
